1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you and SyncAuction ("Company," "we," "us," or "our") governing your access to and use of the syncauction.com website and our catalog synchronization services (collectively, the "Services").

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

2. Description of Services

SyncAuction provides a platform that enables Heritage Auctions (HA.com) partners to synchronize their product catalog data to e-commerce platforms including WooCommerce, Shopify, and BigCommerce. Our Services include:

• Automated catalog synchronization from Heritage Auctions
• Product data processing and enhancement
• AI-powered content generation
• Pricing rule management
• Inventory management and auto-unpublishing
• Order forwarding to Heritage Auctions

3. Eligibility

To use our Services, you must:

• Be at least 18 years of age
• Have the legal capacity to enter into binding contracts
• Be an authorized Heritage Auctions Dealer Direct partner with valid API credentials
• Have a legitimate e-commerce business
• Not be prohibited from using the Services under applicable laws

4. Account Registration

To access certain features of our Services, you must create an account. You agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Keep your password secure and confidential
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

5. API Credentials and Access

By providing your Heritage Auctions and e-commerce platform API credentials, you:

• Authorize us to access these platforms on your behalf
• Confirm you have the right to grant such access
• Accept responsibility for ensuring your credentials remain valid
• Understand that service interruptions may occur if credentials expire or are revoked

6. Acceptable Use

You agree NOT to:

• Use the Services for any unlawful purpose
• Violate Heritage Auctions' terms of service or API usage policies
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the integrity of our Services
• Transmit viruses, malware, or other harmful code
• Resell, sublicense, or redistribute our Services without authorization
• Use automated systems to access our Services in a manner that exceeds reasonable use
• Misrepresent your identity or affiliation

7. Intellectual Property

The Services, including all content, features, and functionality, are owned by SyncAuction and are protected by copyright, trademark, and other intellectual property laws.

Product data, images, and descriptions sourced from Heritage Auctions remain the property of Heritage Auctions. You are responsible for ensuring your use of such content complies with Heritage Auctions' terms.

8. Payment Terms

If you subscribe to paid Services:

• You agree to pay all fees associated with your subscription plan
• Fees are billed in advance on a recurring basis
• All payments are non-refundable unless otherwise stated
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in suspension or termination of Services

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Services may be temporarily unavailable due to:

• Scheduled maintenance
• Technical issues or system failures
• Third-party service disruptions (Heritage Auctions, e-commerce platforms)
• Force majeure events

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

• MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE
• ACCURACY OR RELIABILITY OF DATA FROM THIRD-PARTY SOURCES
• UNINTERRUPTED OR ERROR-FREE OPERATION
• COMPATIBILITY WITH THIRD-PARTY PLATFORMS

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SYNCAUCTION SHALL NOT BE LIABLE FOR:

• Any indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from third-party actions or service disruptions
• Errors in product data sourced from Heritage Auctions
• Failed orders or inventory discrepancies

Our total liability shall not exceed the amount paid by you for the Services in the twelve (12) months preceding the claim.

12. Indemnification

You agree to indemnify, defend, and hold harmless SyncAuction and its officers, directors, employees, and agents from any claims, damages, losses, or expenses arising from:

• Your use of the Services
• Your violation of these Terms
• Your violation of any third-party rights
• Your violation of Heritage Auctions' or e-commerce platform terms

13. Termination

We may suspend or terminate your access to the Services at any time, with or without cause, with or without notice. You may terminate your account at any time by contacting us.

Upon termination:

• Your right to use the Services will immediately cease
• We may delete your account data after a reasonable period
• Provisions that should survive termination will remain in effect

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction.

15. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of material changes by updating the "Last updated" date and, where appropriate, providing additional notice. Your continued use of the Services after changes constitutes acceptance of the modified Terms.

16. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
